Ottawa, Ontario, Canada Effective Date: June 2026 Welcome to the Packo INC. platform (referred to herein as "Packo", the "Platform", or the "Company"). By registering for, installing, browsing, accessing, or utilizing our mobile application, website, or any of our integrated digital services, you acknowledge that you have read, understood, and agreed, in your full legal and contractual capacity, to be bound by and comply with these Terms of Use in their entirety. If you do not agree with or object to any provision of these Terms, you must immediately cease all utilization of our services and delete your account from the Platform. These Terms of Use are operated by Packo INC., a corporate entity legally incorporated under the laws of the Province of Ontario and the federal laws of Canada. Packo serves as an intermediary digital marketplace for promotional coupons, vouchers, and local retail deals, linking Canadian consumers with registered and independent merchant partners. Packo is an intermediary technology provider that offers its services to: Customers (Consumers): To browse, purchase, and manage digital promotional vouchers (coupons) issued by independent local merchants registered on the Platform. Merchants (Partners): To publish promotional deals, market their goods or services, and access a broader consumer demographic within Canada. All users (both customers and merchants) explicitly and irrevocably acknowledge and agree that Packo acts solely as an intermediary technological facilitator and is not a party, joint-venturer, agent, or representative in the actual commercial transaction or contract executed between the customer and the merchant. The merchant alone assumes full, exclusive, and direct legal liability for the quality, safety, legality, and conformity of the services or goods described in the promotional coupon. Users must be at least eighteen (18) years of age to independently register an account, utilize payment systems, and purchase vouchers through the Packo application. Minors between the ages of 13 and 17 are permitted to register and utilize the Platform only with the explicit, prior, and documented consent of a parent or legal guardian. In such events, the parent or legal guardian acknowledges acceptance of these terms and assumes full, absolute legal and financial liability for all purchases, transactions, and digital activities performed under the minor's account. You are strictly responsible for maintaining the absolute confidentiality of your account credentials, passwords, and all technical activities occurring under your account. Packo reserves the right to immediately suspend or permanently terminate any account, without prior notice, in the event of a breach of these Terms, or if any fraudulent, deceptive, or harmful activity is detected. Base Paid Value: In strict compliance with the consumer protection legislation of the Province of Ontario (Consumer Protection Act, 2002) and similar Canadian provincial regulations, the actual monetary amount paid by the customer out of their own funds to purchase a coupon through the Platform is absolutely not subject to any expiration date. It shall remain an outstanding, permanent credit balance valid for redemption with the issuing merchant. The merchant is deemed the sole direct debtor and obligor to fulfill the monetary or service value of the voucher to the consumer. Promotional Value: The additional promotional value (such as exceptional discount benefits or complementary free goods/services) granted above the base paid amount is the only portion that expires on the date clearly specified in the deal's published terms. Following the promotional expiration date, the customer retains the right to redeem the base paid amount for products or services of equal nominal value with the merchant. Digital vouchers or credit balances on Packo cannot, under any circumstances, be exchanged directly for cash from the Platform, except in accordance with the Refund Policy specified below. In accordance with industry best practices and Canadian consumer protection standards, refund requests are strictly regulated under the following conditions: The customer has the right to request a full refund of the base paid amount within a maximum of thirty (30) days from the date of purchase, provided that the voucher is **entirely unused** and has not been redeemed with the merchant. A refund request after the lapse of the 30-day period will be accepted in one case only: proof of the merchant's absolute inability to provide the agreed-upon service or good (such as permanent closure of the business or bankruptcy). Refunds are strictly rejected once a voucher has been activated, scanned, or used either partially or fully with the merchant. To submit an official refund claim, customers must contact us exclusively via: [email protected], enclosing the transaction receipt and account details. Binding General Regulation: The business relationship, payment schedules, marketing campaigns, and fees of registered merchants are strictly and haphazards governed by the independent "Marketing Services & Commercial Partnership Agreement" executed directly between Packo and the merchant. In the event of any conflict, contradiction, or discrepancy in interpretation between these general Terms of Use and the provisions of said executed independent agreement, the executed contract shall prevail and govern with decisive legal effect. Merchants must be legally incorporated and hold a valid, active commercial business license to operate within their respective Canadian province. Merchants are legally required to provide a valid federal Business Number (BN) and their corresponding GST/HST registration number upon onboarding. The merchant alone bears full civil, criminal, administrative, and tax liability for the accuracy of original pricing, conformity of offers, and safety of services provided to consumers. All monetary transactions, platform fees, and payouts are processed and paid in Canadian Dollars (CAD). All users (both customers and merchants) are strictly prohibited from engaging in any of the following activities: Violating any applicable Canadian federal, provincial, or local municipal laws or regulations.
